Mark Thomas
Having graduated from the University of Wales in 1999, I joined a global manufacturing company on their graduate scheme. Having completed the scheme, I wanted to experience other business sectors, and in 2002 I started working for a large Dental Corporate – James Hull Associates. Throughout the next 8 years whilst working within the Dental Corporate, I was involved in various aspects of the accounting function. My roles included being the Senior Management Accountant, Financial Controller, Head of Acquisitions Accounting, and I was also heavily involved in various large fundraising projects. It was a steep learning curve but a thoroughly enjoyable and exciting experience.
In 2010, having gained an in depth knowledge of the dental sector, I co-founded a dental specific outsourcing business (“Igloo Healthcare” previously known as “One Solution Group” or “OneSG”). Within Igloo we built a team of over 20 staff, which supported independent dental practices and also dental corporates, in areas that included Accountancy, Financial Due Diligence, Human Relations, IT Support, and Compliance. At our peak we looked after circa 150 dental practices across the various service offerings. Clients included Portman Healthcare, BUPA, Dentex, and many more smaller dental groups and individual dental practices.
In 2019, I founded Isca Consulting. The main focus of my business is to provide senior finance expertise across a variety of aspects within the dental arena. This expertise can be across a variety of areas:
• Advising individual dentists or dental groups on their acquisition strategy
• Dental Practice Valuations, and advisory services with regard to identifying potential purchasers of their practice
• Raising finance (for acquisition or expansion)
• General consultancy advice on the financial performance of their business and offering business improvement opportunities
• Advising individual dentists or dental groups on their exit strategy
Financial Due Diligence forms a large focus of my activity within the dental sector, and I have been involved in excess of 150 dental practice acquisitions, undertaken on behalf of dental corporates, smaller dental groups, and individual dental practitioners.
Acquiring Dental Practices
- Financial Due Diligence
- Providing clients with accurate profit and cashflow forecasts per the organisational structure post-completion
- Providing clients with a full understanding of the assets and liabilities of the target practice
- Identifying the Risks and Opportunities that exist with the target dental practice
- Deal Structure – Advice on how to structure deals, in terms of initial and deferred consideration, post-completion remuneration terms etc.
- Advice on selecting legal advisors and liaising with finance providers
- Assistance with fundraising for acquisitions (liaising with lenders to secure fundraising at the best available terms)
Dental Practice Valuations
- Advising dental practice owners of the valuation of their Dental Business
- Providing advice with regard to increasing the value of the dental practice pre-disposal
- Ensuring clients understand all aspects of the sales process
- Identifying various avenues to the eventual sale of the dental practice, whether that be to dental corporates, smaller dental groups or owner occupiers, and highlighting the key aspects to consider post-sale
Raising Finance
- Isca has a number of relationships with financial institutions that will be able to provide funding for Acquisitions, Expansion or for Capital Expenditure Projects.
- Isca will prepare all relevant information in terms of the financial analysis and forecasts that lenders will request. This maybe in the form of high level forecasts, or detailed financial models depending on the specific purpose and level of financing that is required
Selling Your Dental Practice
- Once a valuation of the Business has been established, the key goals of the Vendor will be understood so as to ensure that any sales promotion is targeted at the correct genre of acquiring parties
- Promotion of the dental practice to all identified and interested acquiring parties
- A detailed Financial Model will be supplied to interested parties along with a report focussing on the key aspects of the Business
- Isca will liaise with all interested parties to ensure that you achieve the best deal in term of price, structure, remuneration and post-completion working environment
